You agree that any ideas, concepts, business proposals, input, suggestions or other information or material as to your business or that you provide us in connection with the Conference or the Site (including, without limitation, all feedback and comments) will be deemed non-confidential and non-proprietary and may be used or disclosed by Disney or any other Disney Entity without liability or compensation to you or any other persons or entities acting on your behalf. For the purposes hereof, "Disney Materials" means the Site, the Conference, including, without limitation, any slideshow presentation materials, PowerPoint (or similar) slides, deliverables and other products Disney presents to you, and any other written or oral presentation Disney makes to you, in connection with the Conference.
5. PROMOTION; COPYRIGHT POLICY. Except for any material that Disney approves in writing or that has been approved under another written agreement by Disney or any other Disney Entity, you will acquire no right under these Terms & Conditions to use and will not use (or allow the use of) the name "Disney Data and Analytics Conference" or "Disney" (in each case either alone or in conjunction with or as part of any other word or name), any picture of Walt Disney World® Resort or any part thereof, or any fanciful characters, designs, logos, trademarks, tradenames, copyrighted works or symbols of Disney or any other Disney Entity (including, without limitation, Marvel Enterprises, Inc.) (i) in any of your advertising, publicity or promotions; (ii) to express or imply any endorsement by Disney or any other Disney Entity of your products or services; or (iii) in any other manner whatsoever (whether or not similar to the foregoing). If you fail to strictly comply with the provisions of this paragraph, the Disney Entities will suffer irreparable harm and injury and, accordingly, you agree that this failure will be a material breach that will entitle Disney to terminate your access to or participation in the Conference and retain all fees paid by you for the Conference (effective upon our delivery to you of written notice to that effect) and/or obtain injunctive and other equitable relief.
6. ENGLISH LANGUAGE. The Conference and all material for the Conference will be in English and all attendees must be proficient in speaking, listening and reading in English. To minimize distractions during the Conference, translators are not allowed in any of the Conference sessions, except as approved by Disney and/or otherwise required by applicable law.
7. FORCE MAJEURE. If the performance by either party of any obligation hereunder (other than any payment obligation) is directly delayed or prevented in whole or in part by any cause not reasonably within its control (including, by way of example but not limitation, acts of God, war, civil disturbances, accidents, shortage of supplies or labor disputes, but excluding, if you are booking the Conference for a third party, any cause within the control of that third party), it will be relieved of performance of such obligation to the extent such performance is directly so delayed or prevented, without liability of any kind (cancellation of the Conference due to any such cause is referred to herein as cancellation due to "Force Majeure"). Nothing herein will be construed as requiring either party to accede to any demands of labor or labor unions, suppliers or other entities that it considers unreasonable.
8. NO GUARANTEE. Each party agrees that, notwithstanding anything to the contrary in these Terms & Conditions, no promise, guaranty, representation or warranty of any kind or nature whatsoever (including, without limitation, as to the implementation of any learning from any Conference) is or will be made as to the success or failure of any Conference on your or any other individual's or entity's business or operations.
9. PHOTOGRAPHY/VIDEOGRAPHY/BROADCAST. No taping, photography, videography, webcast or other recording or broadcast of the Conference will be permitted without obtaining Disney’s prior written consent, which it may withhold in its sole discretion.
Your registration and/or attendance at the Conference indicates your consent to be filmed, photographed, recorded, or videotaped and further indicates your consent for any Disney Entity to display, use and reuse and/or otherwise exploit such photographs, films, tapes and/or recordings of your likeness, image, voice, sound and statements, and your name, as the case may be, in all media, whether now known or hereafter devised (including, without limitation, online, social media, webcasts, podcasts, mobile) and in all forms including, without limitation, digitized images, whether for advertising, publicity, editorial or promotional purposes related to the Conference or any future Disney data and analytics conference and for internal purposes without compensation or liability.

11. GOVERNING LAW; VENUE. Any dispute or claim, whether in contract or tort, arising out of or in connection with the Conference and/or these Terms & Conditions, will be governed by the laws of the State of Florida without giving effect to any conflict of laws provisions thereof. Any dispute or claim, whether in contract or tort, arising out of or in connection with the Conference and/or these Terms & Conditions will be submitted exclusively to the Circuit Court of Orange County, Florida (or if the Circuit Court will not have jurisdiction over the subject matter thereof, then to such other court sitting in such county and having subject matter jurisdiction) for trial and determination by the court sitting without jury. Disney and you hereby consent to the exclusive jurisdiction of such court and to the service of process outside the State of Florida pursuant to the requirements of such court in any matter submitted to it, and Disney and you expressly waive the right to a jury trial.
12. UPDATES; NOTICES; TERMINATION. Disney reserves the right to update or make changes to the Site, the Conference and these Terms & Conditions from time to time and notice of such changes may be given by any reasonable means, including without limitation, by posting to the Site or by e-mail. Notice of a change in these Terms & Conditions will be deemed given if and when revised Terms & Conditions are posted on the Site. Disney reserves the right, in its absolute and sole discretion and for any reason it deems sufficient, to restrict, suspend or terminate your access to the Site or participation in all or part of the Conference at any time without prior notice and without refund or liability if Disney believes you are using or have used the Conference or the Site in violation of these Terms & Conditions or applicable law or regulations or in any manner other than for their intended purpose and in accordance with all other guidelines and requirements applicable thereto. You agree that Disney will not be liable to you or to any third party for any such restriction, suspension or termination of your access to the Site or participation in the Conference. Upon any such termination, your right to access or use the Site and to participate in the Conference will immediately cease and we will retain all fees paid by you for the Conference.
13. DISCLAIMER OF WARRANTY; LIMITATION OF LIABILITY. The Conference is provided "as is" and without warranties of any kind. To the fullest extent permitted by law, Disney and its affiliates, licensors, agents and service providers each expressly disclaim any warranties and conditions, express, implied, or statutory, including but not limited to, warranties or conditions of merchantability, fitness for a particular purpose, accuracy, completeness, availability, security, compatibility, satisfactory quality and noninfringement and their equivalents. Further, in no event will Disney or any of its affiliated or related companies be liable to you for any lost profits or any non-economic, incidental, indirect, special, consequential, speculative, exemplary or punitive damages arising out of or relating to the Conference, the Site or these Terms & Conditions, including without limitation, damages resulting from your access to or use of, or inability to access or use, the Site or participation in, or inability to participate in, the Conference, however caused. Disney reserves the right to suspend or discontinue the Conference. The Conference and its experiences and other offerings may be modified or unavailable, limited in capacity and subject to limited availability or closure. You acknowledge that we may make these modifications in our sole discretion at any time without notice. In any such case, Disney’s liability to you will be limited to the purchase price paid for the Conference. In no event will Disney's total liability to you for all damages, losses and causes of action exceed the purchase price paid for the Conference.
14. ASSIGNMENT. You may not assign or transfer any rights or interest herein (including, without limitation, rights and duties of performance), nor will the same be assignable by operation of law, without Disney’s prior written consent in its sole discretion. If any provision of these Terms & Conditions is held to be invalid, void, or unenforceable by a court of competent jurisdiction, such provision or part thereof will be deemed modified to conform to applicable law, or if this would cause an illogical or unreasonable result, such provision will be stricken from these Terms & Conditions without affecting the binding force or effect of any other part or provision.
